Varnum represented the equity owners of Hawaii Engineering Services (HES) in its recent sale to Vessco Holdings, a portfolio company of San Francisco-based Gryphon Investors.
Varnum negotiated and drafted the contract for the transaction, representing the sellers in all aspects of the equity purchase. Pete Roth and Matt Maltz led the corporate team which also included Amy Yan. John Arendshorst provided employee benefits work, and Shawn Strand provided tax counsel.
Based in Honolulu, HES is a supplier of equipment for municipal water and wastewater systems, including pumps, electrical controls, valves, flow meters, wastewater treatment plant headworks, and chlorination and ultraviolet (UV) disinfection systems.
Based in Minneapolis, Vessco Holdings is a family of companies supplying water and wastewater systems, equipment and aftermarket services to municipal and industrial customers across the United States.
