The deadline to file an initial report under the Corporate Transparency Act (CTA) is: (1) January 1, 2025, for reporting companies that were in existence prior to January 1, 2024; (2) 90 days after a reporting company’s creation or registration, for reporting companies created or registered in the U.S. during calendar year 2024; and (3) 30 days after a reporting company’s creation or registration, for reporting companies created or registered in the U.S. on or after January 1, 2025.

While the CTA was declared unconstitutional in a federal court opinion with narrow reach earlier this year, FinCEN has announced publicly that, notwithstanding pending appeals, all reporting companies that are not plaintiffs in that action must “comply with the law and file beneficial ownership reports as provided in FinCEN’s regulations.”

About the Corporate Transparency Act

The CTA was enacted to enhance corporate transparency and combat financial crime. It imposes mandatory obligations on certain companies operating in the United States, including international entities registered to do business in the United States. Once effective, a wide range of companies will be required to provide personal information about their beneficial owners to the U.S. Department of the Treasury’s Financial Crimes Enforcement Network (FinCEN).
